Terms of Service

Acceptance of Terms

By accessing or using the IRONGRID platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using IRONGRID on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service.

Description of Service

IRONGRID is a field management platform designed for contractors and construction professionals. The Service includes tools for work order management, crew scheduling, time tracking, materials management, invoicing, and client and partner directory management.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.

Account Registration

To use IRONGRID, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with third parties
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at support@irongridapp.com if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Subscription and Billing

Plans and Fees

IRONGRID is offered on a subscription basis. Current pricing is available at irongridapp.com/pricing. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate corresponding to your selected plan.

Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. No charge will be made during the trial period.

Cancellation

You may cancel your subscription at any time from the Admin Portal under Account Settings. Cancellation is scheduled for the end of your current billing period — you retain full access to the platform and all your data until that date. We do not provide refunds for partial billing periods.

During the remaining access period following cancellation, you may export your data at any time by contacting support@irongridapp.com. After your access period ends, your account data is retained for 90 days before permanent deletion. Payment and billing records are retained by Stripe in accordance with their policies and applicable financial regulations.

Price Changes

We may change subscription pricing with at least 30 days notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Payment Processing

Payments are processed through a third-party payment processor. By providing your payment information, you agree to that processor's terms of service in addition to these Terms. IRONGRID does not store your full credit card details.

Acceptable Use

You agree to use IRONGRID only for lawful business purposes. You may not:

• Use the Service to violate any applicable law or regulation
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or extract data from the Service using automated means without our written permission
• Resell, sublicense, or otherwise commercialize access to the Service without our written consent
• Use the Service to store or transmit content that is unlawful, defamatory, harassing, or fraudulent
• Interfere with or disrupt the integrity or performance of the Service or its related systems
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate action against any violation of this section, including suspending or terminating your account.

Intellectual Property

Our Property

IRONGRID and all associated software, designs, trademarks, logos, and content are the property of IRONGRID and are protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of or rights to our intellectual property beyond the limited license to use the Service.

Your License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use that feedback for any purpose, including improving the Service. We have no obligation to act on any feedback you provide.

Your Content

You retain ownership of all content you upload or create within IRONGRID, including work orders, client records, invoices, and related data. By using the Service, you grant us a limited license to store, process, and display your content solely as necessary to provide the Service.

You are solely responsible for the accuracy, legality, and appropriateness of all content you submit. We do not review user content and are not responsible for any content you create or upload.

Upon account termination, your content will be retained for 90 days before permanent deletion, during which time you may request an export by contacting support@irongridapp.com. After that period, we have no obligation to maintain or provide access to your content. Payment transaction records processed through Stripe are retained by Stripe under their own policies and are not subject to this 90-day window.

Privacy

Your use of IRONGRID is also governed by our Privacy Policy, available at irongridapp.com/privacy. By using the Service, you consent to the collection and use of your information as described in that policy.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IRONGRID DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any defects will be corrected or that the Service is free of viruses or other harmful components.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IRONGRID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless IRONGRID and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your content or data submitted through the Service
• Your violation of any applicable law or third-party rights

Termination

You may stop using the Service and cancel your account at any time through your account settings.

We may suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, pose a security risk, or that continued service is not commercially viable.

Upon termination, your right to access the Service ends immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and indemnification — shall survive.

Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Missouri, and you consent to personal jurisdiction in those courts.

Dispute Resolution

Before filing any formal legal claim, you agree to first contact us at support@irongridapp.com and give us 30 days to attempt to resolve the dispute informally. If the dispute is not resolved within that period, either party may pursue formal legal action.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the date at the top of this page. For material changes, we will provide notice via email or a prominent in-app notice at least 14 days before the changes take effect.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
